Terms and Conditions

1. Definitions

In this Agreement, unless the context otherwise requires:

• “Application” means the Fetch software application for macOS, including all updates, upgrades, and modifications thereto.
• “AI Commands” means user-created commands that utilize third-party artificial intelligence services to process text input.
• “Built-in Commands” means the pre-installed utility commands included with the Application that operate without requiring third-party services.
• “Third-Party Services” means external services accessed through the Application, including but not limited to Google Gemini API.
• “API Key” means the authentication credential provided by a Third-Party Service provider that enables access to their services.

2. License Grant

2.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Application on macOS devices that you own or control, solely for your personal or internal business purposes.

2.2 License Restrictions

You shall not, and shall not permit any third party to:

• Copy, modify, adapt, translate, or create derivative works based on the Application;
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Application, except to the extent expressly permitted by applicable law;
• Sell, resell, sublicense, rent, lease, distribute, or otherwise transfer the Application or any rights therein to any third party;
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Application;
• Use the Application for any unlawful purpose or in violation of any applicable laws or regulations;
• Use the Application to transmit any malicious code, viruses, or harmful content;
• Interfere with or disrupt the integrity or performance of the Application or Third-Party Services.

3. User Responsibilities

3.1 API Key Management

You are solely responsible for obtaining, maintaining, and securing your own API Key(s) from Third-Party Service providers. You acknowledge that your API Key is confidential and agree to take all reasonable measures to protect it from unauthorized access or disclosure. We are not responsible for any unauthorized use of your API Key or any charges incurred through Third-Party Services.

3.2 Compliance with Third-Party Terms

Your use of Third-Party Services through the Application is subject to the terms of service, usage policies, and privacy policies of those Third-Party Service providers. You agree to comply with all applicable Third-Party Service terms, including but not limited to Google's Terms of Service and Gemini API Usage Policies.

3.3 Lawful Use

You agree to use the Application only for lawful purposes and in accordance with all applicable local, national, and international laws and regulations. You shall not use the Application to generate, transmit, or store any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

3.4 System Requirements

You are responsible for ensuring that your device meets the minimum system requirements necessary to run the Application (macOS 10.15 or later) and for maintaining adequate internet connectivity for features requiring network access.

4. Intellectual Property

4.1 Ownership

The Application and all copies thereof are proprietary to Fetch Team and title thereto remains exclusively with us. All rights in the Application not specifically granted in this Agreement are reserved to us. The Application is protected by copyright laws and international treaty provisions.

4.2 Trademarks

“Fetch,” the Fetch logo, and other Fetch trademarks, service marks, graphics, and logos used in connection with the Application are trademarks or registered trademarks of Fetch Team. Other trademarks, service marks, graphics, and logos used in connection with the Application may be the trademarks of their respective owners.

4.3 User Content

You retain all rights to the content you create, input, or generate using the Application. We claim no ownership over your custom commands, configurations, or any output generated through your use of the Application.

5. Third-Party Services

5.1 Third-Party Service Providers

The Application enables integration with Third-Party Services, including Google Gemini API. These services are provided by independent third parties and are not under our control. We do not endorse, warrant, or assume any responsibility for Third-Party Services.

5.2 No Liability for Third-Party Services

We shall not be liable for any acts, omissions, errors, representations, warranties, breaches, negligence, or any damages or losses arising from or related to Third-Party Services, including but not limited to: service unavailability, API changes or discontinuation, pricing changes, usage limits or quotas, data processing by Third-Party Service providers, or any content generated by artificial intelligence services.

5.3 AI-Generated Content

You acknowledge that content generated through AI Commands is produced by Third-Party Services and may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing, verifying, and determining the suitability of any AI-generated content before use.

6. Fees and Payment

The Application is provided free of charge. However, your use of Third-Party Services may be subject to fees charged by the respective Third-Party Service providers. You are solely responsible for any costs, fees, or charges incurred through your use of Third-Party Services, including usage beyond free tier limits. We have no control over and accept no liability for Third-Party Service pricing or billing.

7. Disclaimer of Warranties

The Application is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Application will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content obtained through the Application, including AI-generated content. Your use of the Application is at your sole risk.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Fetch Team, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Application, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages. In no event shall our total liability to you for all claims arising out of or relating to this Agreement or your use of the Application exceed the amount you paid to us, if any, for the Application during the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Fetch Team and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Application; (b) your violation of these Terms; (c) your violation of any rights of any third party, including Third-Party Service providers; or (d) your violation of any applicable laws or regulations.

10. Termination

10.1 Termination by User

You may terminate this Agreement at any time by uninstalling the Application and discontinuing its use.

10.2 Termination by Us

We may terminate or suspend your license to use the Application immediately, without prior notice or liability, for any reason, including but not limited to your breach of these Terms.

10.3 Effect of Termination

Upon termination, your license to use the Application shall immediately cease, and you must uninstall and destroy all copies of the Application in your possession. Sections 4, 7, 8, 9, 11, and 12 shall survive termination of this Agreement.

11. Governing Law and Dispute Resolution

11.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any dispute arising out of or relating to this Agreement or your use of the Application shall be subject to the exclusive jurisdiction of the courts of Thailand. You hereby consent to, and waive any objection to, the personal jurisdiction and venue of such courts.

12. General Provisions

12.1 Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Fetch Team regarding the Application and supersedes all prior agreements and understandings, whether written or oral.

12.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

12.3 Waiver

No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

12.4 Assignment

You may not assign or transfer this Agreement or your rights hereunder without our prior written consent. We may assign this Agreement without restriction.

12.5 Modifications

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms with an updated “Effective Date.” Your continued use of the Application following the posting of changes constitutes your acceptance of such changes.
